Our services may use artificial intelligence technologies, including large language models (“LLMs”), speech recognition, text-to-speech technology, automated workflows, and third-party AI systems.

AI systems are designed to provide natural and contextually relevant interactions, but artificial intelligence is not error-free.

Applicable laws, regulations, industry requirements, or circumstances may require businesses to disclose that an individual is interacting with artificial intelligence, an automated system, or an artificial voice.

Clients are responsible for determining and implementing disclosures required for their particular use cases.

Only Media Solution may assist with configuring disclosures but does not provide legal advice concerning a Client's specific compliance obligations.

Only Media Solution's technology is designed to help businesses improve customer communication and operational efficiency.

Offers

CRM information

Marketing materials

Clients are responsible for reviewing and approving information used by their AI and automation systems.

Clients must use Only Media Solution services in accordance with applicable laws, regulations, industry requirements, platform rules, and contractual obligations.

6. TELEPHONE, SMS AND EMAIL COMMUNICATIONS

Clients using Only Media Solution technology for telephone calls, text messaging, email, lead follow-up, or other customer communications are responsible for obtaining all legally required permissions and consents.

Clients are responsible for complying with applicable laws and requirements concerning:

Automated telephone communications

Artificial or prerecorded voices

SMS and MMS messaging

Commercial email

Do-not-call requirements

Consent

Identification and disclosure requirements

Opt-out requests

Marketing communications

Only Media Solution may suspend communications that we reasonably believe violate applicable laws, carrier requirements, platform policies, or these Terms.

Our own SMS messaging program is additionally governed by our SMS Terms & Conditions.

7. CALL RECORDING AND TRANSCRIPTION

Certain services may include call recording, transcription, conversation summaries, or analytics.

Call-recording and consent laws vary by jurisdiction.

Clients are responsible for determining whether recording or transcription is permitted and for providing all required notices and obtaining all required permissions and consents.

8. THIRD-PARTY SERVICES AND INTEGRATIONS

Only Media Solution may integrate with or depend upon third-party services, including:

CRM platforms

Telecommunications providers

SMS providers

Email-delivery services

Scheduling platforms

Cloud-hosting services

Only Media Solution does not control independent third-party platforms.

We are not responsible for third-party outages, API changes, account restrictions, service discontinuation, policy changes, price changes, data practices, or other actions outside our reasonable control.

Only Media Solution retains ownership of its proprietary software configurations, automation frameworks, methodologies, designs, templates, documentation, training materials, systems, processes, and other intellectual property unless otherwise agreed in writing.

Clients retain ownership of their trademarks, logos, customer information, business information, and original materials provided to us.

Clients grant Only Media Solution permission to use Client-provided materials as reasonably necessary to provide contracted services.

12. FEES, BILLING AND SUBSCRIPTIONS

Fees, subscription charges, setup fees, usage charges, billing schedules, and other payment terms will be disclosed through the applicable service agreement, order form, proposal, invoice, checkout page, or subscription plan.

Certain services may incur usage-based charges, including:

Telephone minutes

SMS/MMS messages

AI processing

Email services

Third-party software

Other consumption-based services

Clients authorize applicable charges associated with services they purchase.

Failure to make required payments may result in suspension or termination.

13. CANCELLATIONS AND REFUNDS

Cancellation and refund terms may vary depending upon the service purchased.

Any specific cancellation, minimum-term, refund, or termination provisions contained in a service agreement, order form, proposal, subscription, or checkout terms will control where they differ from these general Terms.

Unless otherwise stated in writing, fees already earned for completed services or incurred third-party costs may be nonrefundable to the extent permitted by law.

Only Media Solution uses reasonable administrative, technical, and organizational measures designed to protect information.

No internet, telecommunications, cloud, software, or artificial intelligence system can be guaranteed completely secure.

Clients are responsible for protecting their usernames, passwords, API credentials, CRM credentials, and other access information.

18. NO GUARANTEE OF RESULTS

Only Media Solution provides technology, marketing, automation, and AI-powered business solutions designed to assist businesses.

Testimonials, case studies, demonstrations, projections, examples, or descriptions of potential results are illustrative and do not guarantee that another Client will achieve comparable results.

Business performance depends on many factors outside our control.

19. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, services are provided on an “as available” basis without warranties that services will be uninterrupted, completely secure, error-free, or suitable for every business purpose.

Nothing in these Terms excludes warranties or protections that cannot legally be excluded.

20. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Only Media Solution will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use or inability to use our services.

This includes, without limitation, lost profits, lost business opportunities, lost leads, missed appointments, lost data, business interruption, or damages caused by third-party service failures.

Nothing in these Terms excludes or limits liability where prohibited by applicable law.

21. INDEMNIFICATION

To the extent permitted by law, Clients agree to defend, indemnify, and hold harmless Only Media Solution and its owners, employees, contractors, affiliates, and service providers from claims, losses, damages, liabilities, and reasonable expenses resulting from the Client's unlawful or unauthorized use of services, violation of these Terms, infringement of third-party rights, or failure to obtain required permissions or consents.

OnlyMediaSolution.com may contain links to third-party websites.

These links are provided for convenience and do not necessarily constitute endorsement.

Only Media Solution is not responsible for third-party content, security, availability, terms, or privacy practices.

23. SUSPENSION AND TERMINATION

Only Media Solution may suspend or terminate services when a Client:

Fails to make required payments

Violates these Terms

Uses services unlawfully

Creates unreasonable security risks

Violates telecommunications or platform requirements

Abuses our systems

Termination does not eliminate obligations incurred before termination.

24. CHANGES TO SERVICES

Artificial intelligence and digital technologies evolve rapidly.

Only Media Solution may update, modify, replace, improve, or discontinue features when reasonably necessary for security, compatibility, legal compliance, performance, or service quality.

25. CHANGES TO THESE TERMS

We may periodically update these Terms.

The “Last Updated” date identifies the latest revision.

Continued use of our services after revised Terms become effective constitutes acceptance to the extent permitted by law.

26. GOVERNING LAW

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any additional dispute-resolution provisions contained in a separately executed Client agreement will also apply.

27. SEVERABILITY

If any provision is determined to be invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

28. ENTIRE AGREEMENT

These Terms, together with applicable service agreements, order forms, proposals, our Privacy Policy, SMS Terms & Conditions, and other incorporated policies constitute the applicable agreement concerning our services.

A separately executed service agreement will control to the extent it expressly conflicts with these general Terms.
